Welcome to Aelite Talent Vault ("Aelite", "we", "us", "our"), operated by Aelite Business Consultancy, doing business as Aelite Workforce Solutions. These Terms of Service ("Terms") govern your access to and use of our website, www.aelite.biz (the "Site"), including the Aelite Talent Vault platform, and all staffing, recruitment, and remote-talent solutions provided by Aelite Workforce Solutions (collectively, the "Services").
By using our Site or Services, you agree to these Terms. If you do not agree, please do not use the Site or Services.
1. Use Of Services
Aelite connects qualified offshore professionals ("Aelite Talents") with global businesses ("Clients"). You agree to use our Services only for lawful purposes and not to:
- Violate any applicable law, regulation, or third-party rights.
- Misrepresent information about yourself, your company, or hiring intentions.
- Collect or harvest data from the Site for commercial solicitation.
- Clients may access anonymized candidate profiles (“Talent Vault Profiles”) solely for evaluation purposes.
- Candidate content, including videos or summaries, remains Aelite’s property and may not be copied, downloaded, shared, or reposted without written consent.
- Aelite reserves the right to modify, remove, or restrict access to profiles at any time.
- Candidates featured in the Vault remain under Aelite’s representation until a formal engagement is executed.
Aelite reserves the right to suspend or terminate access to the Site or Services for any misuse or breach.
2. Client Engagements And Candidate Introductions
When Aelite introduces a Candidate, you agree to:
- Any engagement, interview, or employment offer arising directly or indirectly from introductions made by Aelite, including through the Talent Vault, shall be subject to Aelite's placement or staffing fees as outlined in the applicable service agreement.
- Use information shared solely for evaluation or hiring purposes.
- Refrain from sharing candidate profiles externally without consent.
- Notify Aelite promptly of any direct hiring, interview scheduling, or employment offer resulting from our introduction.
Placement fees, replacement guarantees, and payment schedules are defined in separate written agreements or invoices.
3. Non-Circumvention
Clients agree not to circumvent Aelite by directly or indirectly contacting, engaging, or employing any candidate introduced by Aelite, including those viewed in the Talent Vault, for a period of twelve (12) months following the introduction, unless authorized in writing.
4. Candidate Representations
Candidates submitting information or video profiles warrant that all details provided are accurate and consent to Aelite sharing such information with potential employers for recruitment purposes. Candidates may request removal from the Vault at any time.
5. Intellectual Property
All content on our Site, including design, text, graphics, logos, and trademarks, is owned by or licensed to Aelite Workforce Solutions. You may not copy, modify, distribute, or use our intellectual property without written consent.
6. Confidentiality
Both Aelite and Users agree to maintain strict confidentiality over all non-public business, technical, and personal information shared through our Services.
7. Disclaimer And Limitation Of Liability
Our Services are provided "as is" without warranty of any kind. While Aelite strives to connect businesses with capable professionals, we do not guarantee hiring outcomes, job performance, or continued employment.
To the fullest extent permitted by law, Aelite shall not be liable for indirect or consequential damages (including loss of profit or data). Our total aggregate liability shall not exceed the total service fees paid in the 6 months preceding the claim.
All Aelite Talents engaged through staffing arrangements operate as independent contractors of Aelite or its affiliates, not as employees of the Client, unless otherwise agreed in writing.
8. Data Protection
Personal data shared through our Site or Services is handled per our Privacy Policy. By using our Services, you consent to such processing, including international transfers where required for staffing purposes.
9. Third-Party Links
Our Site may include links to third-party sites. Aelite is not responsible for the content or practices of those sites.
10. Governing Law And Disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
Any dispute shall be subject to the exclusive jurisdiction of the competent courts in Pasig City, Philippines, unless otherwise mutually agreed in writing.
For international clients, disputes may alternatively be settled under the jurisdiction specified in the executed service agreement.
11. Changes To These Terms
Aelite may modify these Terms at any time. The updated version will be posted on this page with a new effective date. Your continued use of the Services constitutes acceptance of the revised Terms.
